Effective date: August 8, 2026 This Commercial License is part of the agreement between Design Labs Inc. (“Design Labs,” “Chic,” “we,” or “our”) and the person or entity that successfully pays for and unlocks an identified Chic Project (“Customer” or “you”). It applies only to a Project whose checkout records the exact accepted version of this License. 1. Project Deliverables “Project Deliverables” means the generated design output, page copy, source files, design tokens, and other exportable material made available for the identified paid Project. It excludes the Chic Service, internal prompts and workflows, provider tools and models, pre-existing Design Labs technology, Customer Content, and Third-Party Material. “Third-Party Material” includes fonts, icons, libraries, open-source software, stock or reference assets, model-provider material, and any other content governed by someone else’s rights or license. 2. Commercial rights After successful payment, and subject to this License and the Terms, as between you and Design Labs and to the extent permitted by law and third-party rights, you own the Project Deliverables generated specifically for you. To the extent any transferable right in a Project Deliverable remains with Design Labs, Design Labs grants you a perpetual, worldwide, non-exclusive, royalty-free, fully paid right to use, reproduce, modify, adapt, publish, display, distribute, sublicense as part of your product or client work, and commercially exploit that Project Deliverable. These rights include using the Project Deliverables for your own business, a client project, marketing, a website, software, presentations, and derivative work. They do not require attribution to Chic. You may export the same available Project repeatedly without another export fee. Keep your own durable copy because this License does not promise perpetual hosting or availability of the Service. 3. What is not granted This License does not transfer or license the Chic Service, internal prompts, generation pipeline, trademarks, interface, models, or other platform technology. It does not grant rights in Customer Content you do not already have or override a Third-Party Material license. It does not authorize you to resell or provide access to Chic itself, remove third-party notices, or falsely claim exclusive authorship or human creation where law or a platform rule requires disclosure. 4. Third-party review Third-Party Material remains subject to its applicable license and may require attribution, a separate commercial license, source disclosure, or replacement. Generated material may resemble existing work or output produced for others. Design Labs does not perform trademark clearance, copyright clearance, accessibility certification, security review, export-control review, or legal approval for your launch. You are responsible for reviewing the Project Deliverables and obtaining any rights, releases, consents, or professional advice needed for your use. If you ask Chic to reproduce a reference, brand, person, product, or protected style, you remain responsible for ensuring that instruction and resulting use are lawful. 5. Customer Content You retain ownership of Customer Content. You represent that you have the rights necessary to use it and to authorize its processing in the Project. This License gives Design Labs no ownership of your logo, brand, product, or confidential business material. 6. No exclusivity or registration promise The commercial rights are non-exclusive. Chic and its providers may generate the same or similar ideas, layouts, code, text, or visual elements for others. We do not promise that any Project Deliverable is unique, copyrightable, patentable, registrable as a trademark or trade dress, or free of third-party claims. 7. Duration and termination Commercial rights begin only when payment succeeds, the Project is unlocked, and the required legal acceptance is durably recorded. They continue perpetually for lawfully paid Project Deliverables, even if you later cancel a Pro subscription. If payment is reversed, charged back, fraudulent, or never settles, the License is suspended and may terminate. Design Labs may terminate the License for a material breach that is not cured within ten days after notice when cure is possible, or immediately for fraud, unlawful use, or knowing infringement. Termination does not require destruction of independently owned Customer Content, but you must stop using rights granted solely by this License. 8. No warranty PROJECT DELIVERABLES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DESIGN LABS DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, UNIQUENESS, ACCURACY, ACCESSIBILITY, SECURITY, AND FITNESS FOR LAUNCH. YOU ACCEPT RESPONSIBILITY FOR HUMAN REVIEW, TESTING, CLEARANCE, AND DEPLOYMENT. 9. Liability and indemnity The limitation-of-liability and indemnity provisions in the Terms apply to this License and the Project Deliverables. Nothing in this License excludes rights or remedies that applicable law does not permit the parties to waive. 10. Priority and contact If this License conflicts with the Terms about commercial rights in paid Project Deliverables, this License controls. The Terms control all other use of the Service.
